Terms and conditions
1. About these terms
These Terms and Conditions govern the purchase and use of Trade Studio software, websites, licences and related services.
References to “Trade Studio”, “we”, “us” and “our” mean Trade Studio. References to “you”, “your” and “Customer” mean the business, sole trader, partnership, company or organisation purchasing or using our products or services.
2. Business customers
Trade Studio is designed primarily for business customers. By placing an order, you confirm that you are purchasing wholly or mainly for purposes connected with your trade, business, craft or profession and that you have authority to bind the Customer.
3. The agreement
The agreement consists of the accepted quotation, order form, invoice or online order; any incorporated service description or specification; any applicable data processing terms; and these Terms and Conditions.
For the standard Trade Studio website package, the Customer confirms the order by accepting the agreed scope and paying the first 50% of the website price. Work begins once that first payment has been received, unless Trade Studio agrees otherwise in writing.
The remaining 50% becomes due when the finished website has been made available for review and is ready for launch, installation or final delivery.
4. Products and services
Trade Studio may provide website platform software, website configuration, design and theme services, content preparation, enquiry-management tools, analytics, SEO tools, AI features, licences, hosting, maintenance, support, training and related services.
The exact scope, deliverables, limits and features are those stated in the relevant quotation, order or service description.
5. Prices and payment
- Prices are those stated in the relevant quotation, order or invoice.
- Unless stated otherwise, prices exclude VAT and other applicable taxes.
- For the standard Trade Studio website package, 50% of the agreed website price is payable before work begins.
- The remaining 50% of the agreed website price is payable when the finished website is ready for launch, installation on the Customer's hosting, licence activation or final delivery. Trade Studio may withhold launch, installation, licence activation or final delivery until the balance has been paid.
- The Trade Studio licence supplied with the website is included within the one-off fee stated in the order unless the order says otherwise.
- Hosting, domains, premium integrations, support plans, renewals and third-party services may carry separate charges.
- Additional work outside the agreed scope will be charged separately only where that work and its price have been agreed.
If an invoiced amount is overdue, Trade Studio may pause further work, withhold launch or delivery, suspend services or licence access and require payment before service resumes.
6. Quotations and changes
Unless stated otherwise, quotations remain valid for 30 days. Prices and timescales may be revised where requirements change, information is incomplete, additional work is requested, third-party charges change or unexpected technical constraints arise.
7. Customer responsibilities
The Customer must provide accurate information, required content and access details promptly; review supplied work; keep account details secure; use the service lawfully; obtain permissions for supplied content; and cooperate reasonably with setup, support and maintenance.
8. Customer content
The Customer retains ownership of text, photographs, videos, logos, reviews, files and other material it supplies.
The Customer grants Trade Studio permission to host, copy, adapt, format, display and transmit that content as reasonably necessary to provide the service.
The Customer confirms that supplied content is lawful, accurate where material, does not infringe third-party rights and is supported by any required permissions.
9. Trade Studio intellectual property
Trade Studio and its licensors retain ownership of the Trade Studio platform, source code, software architecture, account and licence systems, reusable components, templates, documentation, processes, branding, updates and related intellectual property.
Payment for a website or licence does not transfer ownership of the Trade Studio software or underlying platform unless expressly agreed in writing.
10. Software licence
Subject to payment and compliance with the agreement, Trade Studio grants the Customer a non-exclusive, non-transferable licence to use the supplied software for the Customer's own business and for the website, installation or domain identified in the order.
The Customer must not resell, sublicense, distribute, bypass licence validation, remove ownership notices, use one licence for multiple unrelated websites, reverse engineer the software except where the law prevents restriction, or use the software to create a competing product.
A licence may require initial activation and reasonable periodic validation.
11. Delivery and timing
Delivery dates and project schedules are estimates unless expressly agreed as fixed deadlines. Timing may depend on Customer Content, access details, Customer responses, technical compatibility, third-party availability and the agreed first and final payment arrangements.
12. Review and acceptance
The Customer must notify Trade Studio of any material failure to meet the agreed specification within 14 days of delivery, unless another review period is stated in the order.
Work will be treated as accepted when the Customer confirms acceptance, publishes or begins commercial use, requests work outside scope or the review period expires without notice of a material issue.
13. Corrections and additional work
Where delivered work materially fails to meet the agreed specification, Trade Studio will use reasonable efforts to correct it. New features, changed preferences, replacement content, redesign requests and third-party changes are not corrections and may be charged separately.
14. Hosting, domains and email
Where hosting, domain registration, email or infrastructure services are included, the relevant scope and renewal arrangements will be stated in the order.
Unless expressly included, the Customer is responsible for domain renewal, hosting suitability, DNS, SSL, email configuration, backups, security monitoring and compatibility with Trade Studio's requirements.
15. Third-party services
Trade Studio may rely on hosting platforms, registrars, payment processors, analytics tools, mapping services, email providers, social platforms, AI providers and other integrations. These services are controlled by their respective providers, and Trade Studio cannot guarantee their continuing availability or unchanged functionality.
16. Artificial intelligence features
AI-assisted output may contain errors, omissions or unsuitable suggestions. The Customer is responsible for reviewing and approving AI-generated material before publishing, sending or relying on it.
17. Search engines, analytics and enquiries
Trade Studio does not guarantee a particular search position, visitor level, enquiry volume, revenue outcome or advertising result. Results depend on factors outside Trade Studio's control.
18. Support and updates
The support, maintenance and update entitlement included with a purchase will be described in the relevant order or plan. Support does not include unlimited development or content work unless expressly stated.
19. Data protection
Each party must comply with applicable data protection law. The Customer is responsible for information collected through its own website, including its privacy notice, lawful bases, cookie controls, retention decisions and handling of individual rights.
20. Confidentiality
Each party must protect the other's confidential information and disclose it only where necessary to perform the agreement, with permission, to advisers or contractors under confidentiality obligations, or where required by law.
21. Security
The Customer must use suitable passwords, restrict account access, keep devices secure, notify Trade Studio of suspected unauthorised access and follow reasonable security instructions.
22. Cancellation and refunds
Cancellation requests should be sent to info@tradestudio.net.
For the standard Trade Studio website package, the first 50% payment confirms the order and allows work to begin. If the Customer cancels before work has started, Trade Studio will refund that payment less any non-refundable third-party cost that the Customer expressly agreed in advance.
Once work has started, the first 50% payment is non-refundable to the extent permitted by law because it contributes to the planning, writing, design, build time and other project work already reserved or carried out. This does not limit any right the Customer may have where Trade Studio is in material breach.
The final 50% payment becomes due when the finished website is ready for launch, installation, licence activation or final delivery. Amounts paid are non-refundable after launch, installation, licence activation or final delivery except where Trade Studio is in material breach or the law requires otherwise.
23. Suspension
Trade Studio may suspend access because of overdue payment, unlawful use, security risk, infringement allegations, licence misuse, legal requirements or material breach.
24. Termination
Either party may terminate for a material breach that is not remedied within 14 days after written notice, repeated breach, insolvency or where the agreement can no longer lawfully continue.
25. Consequences of termination
Following termination, outstanding invoices become payable, licence rights may end, account access may be disabled and confidential information must be returned or deleted where reasonably required.
26. Warranties
Trade Studio will provide services with reasonable care and skill. We do not guarantee uninterrupted or error-free service, compatibility with every third-party product or any particular commercial result.
27. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, Trade Studio will not be liable for indirect or consequential loss or for loss of profit, anticipated savings, revenue, opportunity, goodwill, reputation or data.
Trade Studio's total aggregate liability arising from an order will not exceed the total fees paid or payable under the affected order, to the extent permitted by law.
28. Events outside reasonable control
Neither party will be responsible for delay or failure caused by circumstances outside its reasonable control, including internet failure, power failure, cyberattack, hosting disruption, natural disaster, industrial dispute, governmental action or changes in law.
29. Changes to these terms
Trade Studio may update these terms for future purchases and may make reasonable changes to ongoing services where needed for legal, security, technical or operational reasons.
30. Communications and notices
Routine communications may be sent by email, account notification or support message. Formal notices concerning breach or termination should be sent to the most recent email address supplied by the receiving party.
31. Assignment and subcontracting
The Customer may not transfer the agreement or licence without written consent. Trade Studio may use subcontractors and may transfer the agreement as part of a sale or restructuring of the Trade Studio business.
32. Entire agreement
The agreement represents the entire agreement concerning its subject matter and replaces previous discussions and understandings relating to that subject.
33. Severability
If any provision is invalid or unenforceable, it will be modified or removed only to the minimum extent necessary. The remaining provisions will continue in effect.
34. Waiver
A failure or delay in exercising a right does not waive that right.
35. Third-party rights
Unless expressly stated otherwise, a person who is not a party to the agreement has no right to enforce it.
36. Governing law and courts
The agreement and any non-contractual dispute arising from it are governed by the law of Scotland. The Scottish courts will have exclusive jurisdiction, except where applicable law gives a party a mandatory right to bring proceedings elsewhere.

38. Refer a Friend scheme
Trade Studio may operate a Refer a Friend scheme under which a referrer can receive £50 when a business they introduce becomes a paying Trade Studio website customer.
- The referral must be submitted through Trade Studio’s stated referral route before the referred business places an order.
- The referred business must be a new prospective customer and must not already be recorded as an active Trade Studio enquiry, referral or website order.
- One £50 referral payment is available for each qualifying new customer, and only one referrer can be credited for the same customer.
- The £50 becomes payable after the referred customer has paid the website price in full and the payment has cleared.
- Self-referrals, duplicate referrals, fabricated referrals and other attempts to misuse the scheme do not qualify.
- A referrer who supplies another person’s contact details must have that person’s permission to share those details and to be contacted by Trade Studio.
- There is no fixed limit on genuine qualifying referrals unless Trade Studio states otherwise for a particular promotion.
- Trade Studio may change or withdraw the scheme for future referrals. A qualifying referral already received before a change will continue under the terms that applied when it was submitted.
- Referrers are responsible for any tax or reporting obligation that may apply to referral payments they receive.
